18. Miscellaneous
This Agreement, as modified from time to time, constitutes the entire agreement between you and Tumblr with respect to the subject matter hereof. No agency, partnership, joint venture, or employment is created as a result of this Agreement and you do not have any authority of any kind to bind Tumblr in any respect whatsoever. Any notice to Tumblr that is required or permitted by this Agreement shall be in writing and shall be deemed effective upon receipt, when delivered in person by nationally recognized overnight courier or mailed by first class, registered or certified mail, postage prepaid, to Tumblr, Inc., 35 East 21st Street, 10th Floor, New York, NY, 10010, Attn: Legal Department.
18. 雑則
本契約の合意は、随時の変更を含め、あなたとTumblrの間で、本規約の各題目について、完全な合意を構成するものとします。本契約は口頭、書面に関わらず、本規約の各題目について、全ての従前の理解、合意に代わるものとし、また当事者間での完全で排他的な合意を構成するものとします。
本規約に定めるなんらかの権利の行使において、当事者間のどちらかに不履行 があっても、それがどのような形であれ、当該以外の他の権利の放棄とはみなされないものとします。
本契約のいずれかの条項が執行不能、あるいは無効であると判明した場合、当該の条項は必要最小限の範囲で限定あるいは失効し、本契約はその他の部分において完全な有効力を持つものとします。
あなたは、事前にTumblrによる書面での合意を得ている場合を除き、本契約の譲渡やサブライセンシングを行うことはできません。
Tumblrはあなたの同意なしに、本契約の一部または全体を、随時譲渡することができます。
本契約はいかなる代理店,パートナーシップ、ジョイントベンチャー、雇用を生み出すものでもなく、あなたにTumblrを拘束するいかなる権限を持たせるものでもありません。
本契約の下、Tumblrに対しなされるあらゆる通知は、書面で行われるものとし、全国的に有効な、翌日配達便あるいは前払いの、first-class mail、登録郵便または証明郵便で、35東21ストリート、 10階、ニューヨーク、NY 、 10010 、Tumblr社 法務部宛に届けられ、受け取りがなされた時点で有効と見なされます。
19. Special Provisions for Subscribers Located Outside of the United States
Tumblr provides global products and services and enables a global community for individuals to share and follow the things they love. Tumblr's servers and operations are, however, located in the United States, and Tumblr's policies and procedures are based on United States law. As such, the following provisions apply specifically to Subscribers located outside of the United States: (1) you consent to the transfer, storage, and processing of your information, including but not limited to Subscriber Content and any personal information, to and in the United States and/or other countries; and (2) if you are using the Services from a country embargoed by the United States, or are on the United States Treasury Department's list of "Specially Designated Nationals," you agree that you will not engage in financial transactions, or conduct any commercial activities using or through the Services (for example, purchasing Premium Themes).

20. DMCA Copyright Policy
Tumblr has adopted the following policy toward copyright infringement on the Services in accordance with the Digital Millennium Copyright Act (the "DMCA"). The address of Tumblr's Designated Agent for copyright takedown notices ("Designated Agent") is listed below. You may submit a notice under the DMCA using our copyright notice form.
Reporting Instances of Copyright Infringement:
If you believe that Content residing or accessible on or through the Services infringes a copyright, please send a notice of copyright infringement containing the following information to the Designated Agent at the address below:
1.Identification of the work or material being infringed.
2.Identification of the material that is claimed to be infringing, including its location, with sufficient detail so that Tumblr is capable of finding it and verifying its existence.
3.Contact information for the notifying party (the "Notifying Party"), including name, address, telephone number, and email address.
4.A statement that the Notifying Party has a good faith belief that the material is not authorized by the copyright owner, its agent or law.
5.A statement made under penalty of perjury that the information provided in the notice is accurate and that the Notifying Party is .authorized to make the complaint on behalf of the copyright owner.
6.A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright that has been allegedly infringed. Please also note that the information provided in a notice of copyright infringement may be forwarded to the Subscriber who posted the allegedly infringing content. After removing material pursuant to a valid DMCA notice, Tumblr will immediately notify the Subscriber responsible for the allegedly infringing material that it has removed or disabled access to the material. Tumblr will terminate, under appropriate circumstances, the Accounts of Subscribers who are repeat copyright infringers, and reserves the right, in its sole discretion, to terminate any Subscriber for actual or apparent copyright infringement.
Submitting a DMCA Counter-Notification:
If you believe you are the wrongful subject of a DMCA notification, you may file a counter-notification with Tumblr by providing the following information to the Designated Agent at the address below:
1.The specific URLs of material that Tumblr has removed or to which Tumblr has disabled access.
2.Your name, address, telephone number, and email address.
3.A statement that you consent to the jurisdiction of Federal District Court for the judicial district in which your address is located (or the federal district courts located in New York County, New York if your address is outside of the United States), and that you will accept service of process from the person who provided the original DMCA notification or an agent of such person.
4.The following statement: "I swear, under penalty of perjury, that I have a good faith belief that the material was removed or disabled as a result of a mistake or misidentification of the material to be removed or disabled."
5.Your signature.
Upon receipt of a valid counter-notification, Tumblr will forward it to Notifying Party who submitted the original DMCA notification. The original Notifying Party (or the copyright holder he or she represents) will then have ten (10) days to notify us that he or she has filed legal action relating to the allegedly infringing material. If Tumblr does not receive any such notification within ten (10) days, we may restore the material to the Services.
